The State and Federal Tax Practice Group at Stoll Keenon Ogden provides institutional and individual clients with advice and representation in all forms of federal, state and local taxes and encompasses a full range of services in the context of structuring transactions and business enterprises, tax planning and consulting and representing clients in tax litigation. We have experience in all forms of federal, state and local taxes, including corporate, partnership and individual income taxes, sales and use taxes, state/centrally-assessed and county-level valuation, excise taxes, insurance premium tax, severance and unmined minerals taxes, real and personal property taxes, license tax, motor vehicle and real estate transfer tax, occupational license tax, abandoned property matters and business incentives such as Kentucky's KIDA, KIRA, KREDA and KJDA programs, and the various tax credits and exemptions available in Kentucky.

We provide a full range of services with respect to these taxes including:

* Tax Planning. We advise many multistate and in state clients on federal, state and local tax planning and minimization strategies. This includes advice with respect to business organization and transaction structure, as well as tax and economic development incentives and exemptions. It also includes multistate issues such as nexus and consolidated/combined reporting. The firm's tax attorneys regularly work with clients to develop audit strategies prior to the filing of a tax return for the relevant tax year, and also represent clients after an audit has been completed. The firm's tax attorneys regularly represent taxpayers and qualified intermediaries in sophisticated like kind exchanges, including reverse exchanges, build-to-suit exchanges, multi-property and multi-asset class exchanges and tenant-in-common (TIC) arrangements.

* Transactional Advice. We have a long history of advising clients on transactional matters, including mergers, acquisitions and leasing transactions. We also routinely assist clients in obtaining tax rulings from the Internal Revenue Service and state and local revenue authorities.

* Audits, Administrative Appeals, Refund Claims and Litigation. We have decades of experience successfully assisting clients with audits and pursuing tax protests with the Internal Revenue Service and state and local revenue authorities, and in litigating unresolved disputes in all appropriate administrative tribunals and courts. We have particular experience in resolving or, if necessary, litigating local tax controversies.

* Legislative and Tax Policy. We have also been very active for many years on behalf of our clients on legislative tax matters. We have represented clients legislatively with respect to many of Kentucky's tax provisions and significant amendments thereto, including the following:
- the tangible personal property tax nonferrous metals exemption;
- the tangible personal property tax exemption for property stored for subsequent shipment out-of-state;
- the Kentucky Enterprise Zone program; and
- the wireless E911 fee program.

* Rulemaking and Revenue Department Policies and Practices. We have considerable experience representing clients with respect to changes in, or adoption of, Kentucky Department of Revenue Regulations, including those in the income tax and sales and use tax areas.
